The Service Provider:

The Client and The Service Provider agree to enter into the following agreement with respect to matters relevant to The Client commissioning The Service Provider to manage the services detailed below in a lawful and compliant way.
1. The Services:
The Service Provider agree to provide;
2. The Client's Responsibilities:
a) As the applicant for a VAT number, the information required that is submitted to the Service Provider in accordance with the relevant requirements shall be true and valid. All e-commerce and offline sales shall be truthfully reported. If the data is incomplete or there is provision of false declaration materials, responsibility and liability shall be borne in full by the Client in relation to the tax reimbursement and fines of the Tax Authorities, at the same time, the agreement will be terminated by the Service Provider.
b) As the owner of the VAT number, the Client should make a true and accurate VAT filing within the deadline set by the Service Provider and be assisted by the Service Provider, so the Client can pay the VAT on time. Failure to pay the VAT within the time limit specified and complete the declaration or failure to perform the corresponding responsibilities may result in fines, surcharges, and interest that are the sole liability of the Client.
c) As the owner of the VAT number, the Client is responsible for its VAT payment obligation. The Service Provider, as the agent of the Client, only deals with the matters in accordance with the data provided by the Client, and only provides assistance and suggestions for the tax liability that may be involved for the Client, without any legal responsibilities.
d) In order for the Service Provider to smoothly carry out various VAT related matters, the Client agree to provide complete commercial information materials, including all copies of sales invoices and sales records (including remote sales records that need to be declared), collection records and shipping records.
e) The Client shall keep contact with the Service Provider and promptly inform the Service Provider of any change that may affect the registration information of the VAT number.
3. The Service Provider's Responsibilities:
a) As the agent of the Client, the Service Provider shall submit the application on behalf of the Client for the registration of VAT number to the Tax Authorities and communicate to the Client any VAT related issues.
b) The Service Provider shall notify the Client of the VAT obligations, including the amount of VAT payable by the Client to Tax Authority and the date of payment.
c) The Service Provider shall communicate with Tax Authorities regarding the VAT registration and regular VAT declarations.
d) The Service Provider shall only deal with the Client's application based on the Client's assurance that the information and documents are true and accurate. The Service Provider shall not be responsible for examining the authenticity of the above documents and information. The Service Provider shall not be liable for any consequences caused by the Client’s untrue, untimely, or inaccurate information provided or unwillingness to provide the required information.
e) The Client fully understands that the application and declaration results from Tax Authority are controlled by the Tax Authority, and the Service Provider can only provide time scales according to the guidelines of the Tax Authority.
f) If in the future the Client is involved in a compliance investigation by the Tax Authorities, and the Service Provider’s assistance is required to handle the compliance investigation, then additional fees will be charged as dealing with tax inspections with Tax Authorities is not considered as part of normal VAT filings. An additional audit agency agreement is required.
4. The Duration and Termination of the Agreement:
a) The Provider will offer each Client that is enrolling in the services an initial one-year contract with the Provider (Initial Client Term).
b) This agreement remains in force until either party decides to terminate the agreement by giving 30 days written notice.
c) Any original documents provided by the Client and not held by the Tax Authorities will be returned to the Client within 14 days of the termination date.
5. Limitation of Liability:
a) The Service Provider will not accept liability if the Client acts on advice given by the Service Provider on an earlier occasion without first confirming with the Service Provider that the advice is still good and not affected by any subsequent changes in the law or the Client’s circumstances.
b) The Service Provider will not accept liability for losses arising from changes in the law or the interpretation thereof that are first published after the date on which the advice is given.
c) The Service Provider will not accept liability for any loss suffered by the Client as a result of the Service Providers compliance with the Anti-Money Laundering Legislation or any other legislation.
d) The content of this agreement is drafted in accordance with the relevant laws and regulations of England and Wales.
6. Anti-Money Laundering:
a) In order to comply with the law on money laundering, we need to obtain evidence of your identity as soon as practicable.
The fees for the Services are described here. The Service Provider will agree with the Client on the fees that will be charged for any additional services not falling within the scope of the VAT Services on Amazon programme, before any of those additional services are performed for the Client.
The Client authorizes and instructs the Service Provider to provide to any relevant Amazon entity, as applicable, at any time, any information the Service Provider holds about the Client’s reports, calculations, tax returns, transactions and any other information about the Client so that the Client is able to properly enjoy the Services performed by the Service Provider via VAT Services on Amazon.
9.Compliance with data protection laws
