Documents needed for a ltd company
We’ll be switching our sole trader account to a ltd company in the coming weeks. I’m aware Amazon will require us to go through the verification process again (which can take time etc). My issue is with the documents that Amazon requires, which are as follows:
- Private limited liability companies registered in the United Kingdom:
- Current Appointments Report (CAR) dated from the past 90 day
- Utility Bill, Bank Statement or Credit Card Statement in the name of the Business and dated from the past 90 days
- Articles of Association
- Memorandum of Association or Statement of Capital - this document displays the shareholders and the division of the shares
The Companies House documents can be obtained from http://wck2.companieshouse.gov.uk/
I have a few questions regarding the name that needs to show on some of the documents, such as the utility bill. Does it need to show the business name only or both the business name and the Amazon account representative/director name? If so, do they need to be in any particular order?
Same for the bank account details. We have a bank account for the business and I know we’ll need to provide documents to verify it (e.g. a bank statement dated within 90 days). Does this document need to show the business name only or both the business name and the Amazon account representative/director name? If so, do they need to be in any particular order?
Another question for the articles and memorandum of association. It’s likely that by the time we switch from sole trader to ltd company, one of the directors will leave the company. As far as I know, the memorandum of association shows the names of the directors at the time the company was incorporated… which means that it may show 3 directors, whereas there’ll likely only be 2 at the time we switch. Will this be a potential problem? Or can we obtain the memorandum with up-to-date director info from http://wck2.companieshouse.gov.uk/ as advised by Amazon?

The utility bill just needs to show the company name however it must match the name on Amazon EXACTLY, so if it says LTD on the bill and Limited on your account Amazon will reject it. It is the same situation with Bank Statements if you have to provide them.
Im not sure about the articles of association issue as our directors are also the owners of the company so they are going nowhere maybe someone with more experience such as @The_Little_Shop or @Bon_choix knows.

I don’t see this as being a problem as my name is not on either document, it has the name of the incorporation company I used at the time.
From what you are saying you already have the limited company up and running, so should you want to you could change the articles of Association but I do not think you can change the memorandum of association.

so you’ve been registered as Ltd for some time ?
All names / shareholders will need to match so if a director is leaving, you need to make sure CH is up to date first
