Sold my company now being sued over Amazon Account

Sold my website business this past year and advised buyer several times prior to the sale that Amazon does not allow accounts to be transferred because they are a "new" company. I did everything I could to get amazon to allow the transfer right down to contacting thier legal department and the answer was the same. If they are a "new Company" they must establish a new account.

Now they are suing me because I refuse to give them my account. Amazon told me if I violate my seller agreement, I will be held liable and can lose all Amazon privileges.

I do not understand how someone can sue me for something I do not own when they should have heeded my emails saying Amazon would not allow a transfer during their due dilligence period but I guess anyone can sue for anything.

Anyone ever dealt with anything like this or have an input?

As long as it was in the sales contract that the Amazon account will not, or may not be included in the sale, this should be no issue

I sold a company, but that was back in 2015 which seems like a lifetime ago in Amazon years. At the time, I was able to transfer our account over to the buyers. It took some leg work having to change legal entity info, etc. I'm guessing things have changed?

What about to transfer your listings to their account? Whether it let them list on your listing or transfer the brand or something? You can show some cooperation.

It only states "assets" and not "amazon" specifically. I see it as the "asset" being the ability to sell the brand on amazon not the amazon account which is not something I can sell or transfer as I do not own it.

However...even though they were told the same by Amazon they found a third party looking to get their business who told them he can back door amazon if they get my login details.

I just do not want to invite any trouble by circumventing my Seller Agreement.

If you told them and you have it in writing then they have no leg to stand on. Did you get a letter from the lawyer or are they just saying it?

It seems that Amazon's rules only target sellers in the United States. As far as I know, it's quite common for Chinese sellers to buy and sell accounts, with one seller potentially owning dozens or even hundreds of accounts, and Amazon doesn't seem to care.

Why not just give them your account and open a new seller account? You can change the legal name in your account to match the new company's name.

However, when I search for businesses for sale on Google, I see Amazon stores on a regular basis, including on Flipit.com. There must be a way of doing that as it seems to be commonplace, at least in the US. If you are in the U.S. look up in Google: How do you transfer ownership of an Amazon seller account?
