UK Partnership - Verification issues
We are a UK partnership; registered as such on Amazon a number of years ago and were verified. We received the dreaded re-verification notification and uploaded the Partnership agreement and letter from HMRC.
They keep asking for Statutes/Articles of Association which we have explained are not appropriate to UK Partnerships. They repeatedly reject this and continually ask for the Statutes/Articles of Association. Several chats later they still don’t understand these documents are not relevant to UK partnerships.
Can anyone suggest a way through here please? (A brick wall to bang my head against beckons!)

Are you sure you selected that you are sole trader partnership?
I believe that statues and articles of association are more to do to with the official partnerships that are registered at companies house etc. Rather than 2 sole traders running a business as partners.

Its the Partnership UTR thats needed - with a Confirmation of Partnership UTR official letter from HMRC recently dated as proof. As Dedez says - check you are registered on Amazon as a Partnership not a Limited company.

Hi Pia
Thanks for your comments. The main issue we have are the confusing notifications. One of the examples of the sort of documents Amazon said was needed was a notice to complete a tax return dated within the last year. We uploaded the letter from HMRC dated 6 April 2022. That was rejected and the screenshot I posted above shows we were asked for ‘Statutes (by laws/articles of association)’ with the advice that the ‘submitted Statutes should contain Articles of Association and a share allotment document (statement of Capital/ Annual return/ share register)’ which of course UK partnerships do not have. We uploaded the partnership agreement instead and that was rejected.
I then posted on the forums and The Little Shop suggested uploading a letter from HMRC confirming the UTR. That honestly did not make sense given the request for Statutes but bearing in mind Little Shop’s experience we requested that from HMRC (and are still waiting for it.)
In the meantime a response on a case we raised elicited this response…'we need you to submit one of the following documents via the Articles of association path that you see in your Seller Central (I understand this can be confusing and I apologise if that is the case):
As a reminder, we need one of the following documents issued by HM Revenue & Customs (HMRC) within the last year:
- Class 2 National Insurance Contributions (NICs) Bill
- Online VAT Certificate
- Self-Assessment notice to complete a tax return
- Letter confirming your Unique Taxpayer Reference (UTR) number
- Self Assessment Statement
- Short Tax Return.’
What I take from this is that Little Shop is absolutely right that despite advising to the contrary, Amazon don’t accept notices to complete a tax return. Furthermore, the request for Statutes is a complete red herring and not what they want at all.
Fingers crossed that when the letter arrives from HMRC confirming the UTR we’ll be back up and running. Amazon really need to sort out what they will/won’t accept and make it clear.

Hello @Stitching_Crafts_Fo1,
This is Xeno from Amazon to help you with your concerns.
We understand your concern regarding the documents that you are submitting in order to reactivate your selling account, being rejected. Let’s work together in finding the solution.
We would also like to thank @The_Little_Shop for their valuable insights provided on the thread.
Upon reviewing the above mentioned information, the letter from HMRC confirming the UTR is one of the document that the team has requested from you in order to verify and reactivate your selling account.
In addition to it, we would like to inform you to submit the letter once it has been delivered to you as per the appeal requirements, so that the partner team can review it for you and assist you accordingly with the best possible resolution.
The forums community and I are here to support you. Please let us know how we can help you from this point forward.
Regards,
Xeno

Hurrah. The UTR letter arrived yesterday and we have now been re-verified. Thank you so much @The_Little_Shop for your advice. As I’ve said before the request from Amazon to upload Statutes and Articles of Association when they really want something different is confusing to say the least. Add to which the rejection of a document they specifically said was acceptable (Tax return request dated within the last year) is annoying. They really need to make it clear what they want. @Pia_Amazon perhaps you can feed this back.
